MBG Aims to Acquire RNDC of Indiana

Morales Beverage Group, a subsidiary of Morales Capital Group, on Aug. 28 announced that it has submitted a letter of intent to acquire the assets of Republic National Distributing Company of Indiana. The proposed acquisition would expand MBG’s distribution footprint to six states.

Under the terms of the potential transaction, which is expected to close in the fourth quarter of 2026, MBG would acquire RNDC Indiana’s beverage assets and operations. It would continue the business’ supplier and customer relationships across the state.

The deal remains subject to negotiation of definitive documentation, customary regulatory approvals and closing conditions, and approval by the U.S. Bankruptcy Court for the Southern District of Texas in light of RNDC’s ongoing Chapter 11 process. Republic National Distributing Company of Indiana is a joint venture between Republic National Distributing Company, which filed for Chapter 11 on July 26, and National Wine & Spirits.

Formerly known as Mexcor International, the Houston-based importer and beverage distributor was rebranded as Morales Beverage Group in 2024. The family-owned company represents more than 9,000 brands and operates in Texas, California, Florida, Louisiana and South Carolina.
